Article 2 - Applicability & Conditions
2.1. These general terms and conditions apply to all offers, orders, sales, and deliveries via the webshop www.HSE-shop.eu, www.HSE-shop.be, www.HSE-shop.nl, and www.HSE-shop.fr, all owned by Norsonic Benelux BV. The other party will hereinafter be referred to as the Buyer and is presumed to be a customer purchasing goods for professional purposes and consequently possesses a VAT number.
2.2. These General Terms and Conditions do not apply to offers and agreements with Consumers (Consumer: any natural person who, exclusively for non-professional purposes, enters into a distance agreement to acquire or use products or services offered on the market).
2.3. Placing an order on the website constitutes explicit acceptance of our Terms and Conditions.
2.4. Deviations from one or more provisions of these General Terms and Conditions may only be made if this has been expressly agreed upon in writing. The remaining provisions of these terms shall remain in full force and effect in that case. The Buyer may not derive any rights for future transactions from agreed deviations.
2.5. In these terms and conditions , 'in writing' means: by letter or electronically.
2.6. Insofar as these terms and conditions are also drafted in a language other than Dutch, the Dutch text shall always prevail in case of discrepancies.
2.7. We reserve the right to amend or change these general terms and conditions at any time. These terms and conditions shall apply only if the Buyer has effectively acknowledged them, expressly agrees to them, or before signing a new contract with the Buyer.
Article 3 - Offers and Conclusion of Agreements
3.1. Despite the fact that our online catalog and webshop are compiled with the utmost care, it is still possible that the information provided is incomplete, contains material errors, or is not up-to-date. Obvious mistakes or errors in the offer are not binding. The seller is in no case liable for manifest material errors, typographical errors, or printing mistakes.
3.2. The offer is valid while supplies last or as long as the supplier can deliver the product.
3.3. The seller cannot be held liable for the unavailability of a product.
3.4. If an offer has a limited period of validity, or is subject to certain conditions, we will explicitly state this in our offer. Offers or quotations do not automatically apply to future orders.
3.5. To purchase a product, you add the product to your shopping cart. Then you enter your contact details, delivery information, and billing information. Next, you choose your method of delivery: delivery to your chosen address or pick up at our office by appointment. In the final step, you will see an overview of your order, accept our Terms and Conditions, and confirm your payment by pressing the order button labeled “Proceed to Checkout.” Once you have completed these steps, your purchase is final. Your order is complete and the agreement between us is final as soon as we confirm your order by email and once we have received approval for your payment transaction from the card issuer.
3.6. We accept the following payment methods: debit card and credit card. If the issuer of your card refuses to authorize your payment to us, we cannot be held responsible for delays in delivery and/or non-delivery of your order. Orders without valid payment in the name of the registered cardholder will not be accepted or processed.
3.7. We reserve the right to refuse orders without providing a reason.
Article 4 - Price
4.1. All prices are stated in euros, excluding VAT, delivery costs, taxes, and services.
4.2. Shipping costs are calculated separately and depend on the destination country. These costs are clearly communicated before the order is completed.
4.3. The price quoted refers exclusively to the items as described verbatim. The accompanying photos are intended for decorative purposes and may contain elements that are not included in the price.
4.4. Apparent (manipulation) errors in the price quotation, such as obvious inaccuracies, do not bind us and can also be corrected by us after the conclusion of this agreement.
Article 5 - Payment
5.1. We can only accept payment through the payment module on our website. The following payment options are available: debit card and credit card.
5.2. If payment by credit card is chosen, the terms and conditions of the respective card issuer will apply. Norsonic Benelux BV is not a party in the relationship between the Buyer and the card issuer.
Article 6 - Retention of Title
6.1. All products delivered to you as the Buyer remain our property until all amounts and claims owed by the Buyer to the Seller have been fully paid. This includes both the purchase price of the product(s) and other amounts owed by the Buyer under these general terms and conditions, such as – but not limited to – delivery costs and amounts resulting from the failure to pay the purchase price (on time).
6.2. As long as ownership of the products has not been transferred to the Buyer, the Buyer is not entitled to pledge the products or grant any rights to third parties regarding the products. The Seller is (without prejudice to all its other rights) entitled to reclaim the products as long as the Buyer has not paid the amounts described in the preceding article (in full) to the Seller.
Article 7 - Conformity, Warranty, and Liability
7.1. We guarantee that our goods comply with your order and meet the normal expectations you may have, taking into account the product specifications. We guarantee that our goods comply with all Belgian laws as they exist at the time of your order.
7.2. The delivered products are subject to the respective manufacturer's or supplier's warranty. The terms and duration of this warranty vary by product and are available upon request.
7.3. In the event of a warranty claim, the Buyer must contact Norsonic Benelux BV, which will handle the further processing with the manufacturer or supplier.
7.4. The Seller is not liable for:
- Defects in the products due to normal wear and tear, abnormal or unsuitable storage or usage conditions, or any act, negligence, or error by the Buyer or any third party;
- Defects of any kind in products delivered by the Seller that have already undergone any change or transformation;
- Damage of any kind arising from the Seller relying on incorrect and/or incomplete information provided by or on behalf of the Buyer.
- Damage, of any kind, arising from the Buyer not correctly applying the instructions for use (improper or incorrect use of the products).
7.5. In the event of liability of the Seller, the Seller's sole obligation shall be to, at the Buyer's option, either take back and replace or repair the non-conforming products, or reimburse the Buyer for the price of these non-conforming products (but not for the entire order).
7.6. Except in cases of intent or gross negligence, the Seller's total liability to the Buyer is limited to the price of the products that caused the damage, as invoiced to the Buyer. Except in cases of intent or gross negligence, the Seller is in no event liable for indirect damage, including consequential damage or loss of profits.
Article 8 - Delivery and Risk
8.1. Delivery takes place at the address specified by the Buyer.
8.2. We are entitled to deliver goods in parts (partial deliveries).
8.3. The risk of loss or damage to the goods transfers to the Buyer at the time of delivery.
8.4. Delivery times are stated in the order confirmation and are dependent on stock and delivery from suppliers.
8.5. We are entitled to deliver goods in parts (partial deliveries).
8.6. Defects must be reported as soon as possible and certainly within 7 days after delivery, accompanied by photographs of the packaging and damaged or non-compliant goods. Visible defects are understood to mean: goods that were damaged during transport, do not match the items listed on the delivery note, or do not correspond to the items you ordered (visible defects).
8.7. The Buyer acknowledges that the delivery of the goods is dependent on the cooperation of the Buyer. The Buyer must ensure, among other things, that the location where the goods are to be delivered is free and easily accessible and that, if necessary, the goods can be stored at the risk of the Buyer.
8.8. We are not liable for any consequential damages due to late delivery or non-delivery by the carrier. Our liability remains limited to the value of the items that can be proven not to have been received.
Article 9 - Returns
9.1. Returns without prior approval will not be accepted.
9.2. The right of withdrawal for consumers does not apply.
Article 10 - Force Majeure
10.1. In the event of force majeure, the seller is entitled to suspend the agreement for the duration of the force majeure situation. Insofar as the force majeure situation is of a permanent nature, the seller may not be obliged to fulfill its obligations.
10.2. Force majeure is any circumstance beyond the will and control of Norsonic Benelux BV that prevents it from fulfilling its obligations in whole or in part. This includes, among other things: strikes, fire, business disruptions, power failures, disruptions in a (telecommunications) network or connection or communication systems used and/or the unavailability of the website at any time, non-delivery or late delivery by suppliers or other third parties engaged.
Article 11 - Intellectual Property Rights
11.1. All rights to the webshop, logos, images, names, product information, and manuals belong to Norsonic Benelux BV or its suppliers and may not be used, reproduced, or distributed without prior and explicit written permission.
Article 12 - Applicable Law and Competent Court
12.1. Belgian law shall exclusively apply to all agreements, regardless of the residence of the Buyer.
12.2. Disputes shall be exclusively settled by the courts of the judicial district of Leuven.
12.3. The applicability of the Vienna Sales Convention is expressly excluded.
Article 13 - Privacy Policy
13.1. The Seller reserves the right to collect user data solely for internal use, both directly through the collection of data provided by the Buyer at the time of the order, and indirectly (e.g., through the use of cookies, which are short data strings on the computer of the website user that allow the Seller to optimize the content and layout of the website for that user).
13.2. The collected data will not be passed on to organizations that are contractually connected to the Seller.
13.3. In accordance with the law of December 8, 1992, on the protection of personal privacy regarding personal data, the user has the right at any time to access, modify, correct, and request the deletion of that data if they no longer wish to receive information about the activities of HSE-shop.
Article 14 - Final Provisions
14.1. If any provision of these General Terms and Conditions is found to be illegal, void, or unenforceable for any other reason, that provision shall be deemed separable from these General Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions.
14.2. These General Terms and Conditions constitute the complete agreement between the Parties regarding the matters included herein.
14.3. Norsonic Benelux BV reserves the right to change these terms. The amended terms apply to new orders.
