Article 2 - Applicability & Conditions

2.1. These general terms and conditions apply to all offers, orders, sales, and deliveries via the webshop www.HSE-shop.eu, www.HSE-shop.be, www.HSE-shop.nl, and www.HSE-shop.fr, all owned by Norsonic Benelux BV. The other party is hereinafter referred to as the Buyer and is deemed to be a customer purchasing goods for professional purposes and therefore has a VAT number.

2.2. These General Terms and Conditions do not apply to offers and agreements with Consumers (Consumer: any natural person who, for non-professional purposes only, concludes a distance contract to acquire or use marketed products or services).

2.3. Placing an order on the website constitutes express acceptance of our Terms and Conditions.

2.4. One or more provisions of these General Terms and Conditions may only be deviated from if expressly agreed in writing. In that case, the remaining provisions of these terms and conditions remain in full force. The Buyer cannot derive any rights for future transactions from agreed deviations.

2.5. In these terms and conditions, ‘in writing’ means: by letter or electronically.

2.6. If these terms and conditions are also drawn up in a language other than Dutch, the Dutch text will always prevail in the event of any discrepancies.

2.7. We reserve the right to amend or modify these terms and conditions at any time. These terms and conditions will only apply if the Buyer has taken actual notice of them, expressly agrees to them, or before signing a new contract with the Buyer.

Article 3 - Offers and Conclusion of agreements

3.1. Although our online catalog and webshop are compiled with the utmost care, it is still possible that the information provided is incomplete, contains material errors, or is out of date. Obvious mistakes or errors in the offer are not binding. The seller is in no way liable for obvious material errors, typographical errors, or printing errors.

3.2. The offer is valid while stock last or as long as the supplier can deliver the product.

3.3. The seller cannot be held liable for the unavailability of a product.

3.4. If an offer has a limited validity period or is subject to certain conditions, we will explicitly state this in our offer. Offers or quotes do not automatically apply to future orders.

3.5. To purchase a product, add it to your shopping cart. Then, enter your contact information, delivery details, and billing information. Next, choose your delivery method: delivery to the address of your choice or collection at our office by appointment. In the final step, you will receive an overview of your order, accept our Terms and Conditions, and confirm your payment by clicking the order button labeled "Checkout." Once you have completed these steps, your purchase is final. Your order is complete and the agreement between us is final once we confirm your order by email and receive authorization from the card issuer for your payment transaction.

3.6. We accept the following payment methods: debit card and credit card. If your card issuer refuses to authorize your payment to us, we cannot be held responsible for any delays in delivery and/or non-delivery of your order. Orders without valid payment in the name of the registered cardholder will not be accepted or processed.

3.7. We reserve the right to refuse orders without providing a reason.

Article 4 - Price

4.1. All prices are stated in euros, excluding VAT, delivery costs, taxes, and services.

4.2. Shipping costs are calculated separately and depend on the destination country. These costs will be clearly communicated before the order is completed.

4.3. The price quoted refers exclusively to the items as described verbatim. The accompanying photos are for illustrative purposes only and may contain items not included in the price.

4.4. Obvious (manipulation) errors in the price quote, such as obvious inaccuracies, are not binding on us and can be corrected by us even after this agreement has been concluded.

Article 5 - Payment

5.1. We only accept payments via the payment module on our website. These are the following payment options: debit card and credit card.

5.2. If a credit card is chosen as payment method, the terms and conditions of the relevant card issuer apply. Norsonic Benelux BV is not a party to the relationship between the Buyer and the card issuer.

Article 6 - Retention of Title

6.1. All products delivered to you as the Buyer remain our property until all amounts and claims owed by the Buyer to the Seller have been paid in full. This includes both the purchase price of the products and other amounts owed by the Buyer under these terms and conditions, such as – but not limited to – delivery costs and amounts resulting from late payment of the purchase price.

6.2. As long as ownership of the products has not been transferred to the Buyer, the Buyer is not entitled to pledge the products or grant third parties any rights to the products. The Seller is entitled (while retaining all its other rights) to repossess the products as long as the Buyer has not (fully) paid the amounts described in the previous article to the Seller.

Article 7 - Conformity, Warranty and Liability

7.1. We guarantee that our goods comply with your order and meet the normal expectations you may have of them, taking into account the specifications of the product. We guarantee that our goods comply with all Belgian laws as they exist at the time of your order.

7.2. The delivered products are subject to the manufacturer's warranty of the relevant manufacturer or supplier. The terms and conditions and duration of this warranty vary per product and are available on request.

7.3. In the event of a warranty claim, the Buyer must contact Norsonic Benelux BV, which will handle the matter with the manufacturer or supplier.

7.4. The Seller shall not be liable for:

  • Defects in the products due to normal wear and tear, abnormal or unsuitable storage or usage conditions, or any act, omission, or error on the part of the Buyer or any third party;
  • Defects of any kind in products delivered by the Seller that have already undergone any change or transformation;
  • Damage of any kind caused by the Seller relying on incorrect and/or incomplete information provided by or on behalf of the Buyer;
  • Damage of any kind caused by the Buyer not following the instructions for use correctly (improper or incorrect use of the products).

7.5. In the event of liability on the part of the Seller, the Seller's sole obligation shall be, at the Buyer's discretion, either to take back and replace or repair the non-compliant products, or to reimburse the Buyer for the price of these non-compliant products (but not for the entire order).

7.6. Except in cases of intent or gross negligence, the Seller's total liability to the Buyer is limited to the price of the products that gave rise to the damage, as invoiced to the Buyer. Except in cases of intent or gross negligence, the Seller shall in no event be liable for indirect damage, including consequential damage or loss of profit.

Article 8 - Delivery and Risk

8.1. Delivery will be made to the address specified by the Buyer.

8.2. We are entitled to deliver goods in parts (partial deliveries).

8.3. The risk of loss or damage to the goods shall pass to the Buyer at the time of delivery.

8.4. Delivery times are stated in the order confirmation and depend on stock availability and delivery by suppliers.

8.5. Defects must be reported as soon as possible and certainly within 7 days of delivery, accompanied by photographs of the packaging and damaged or non-compliant goods. Visible defects are understood to mean: goods that were damaged during transport, do not correspond to the items listed on the delivery note, or do not correspond to the items you ordered (visible defects).

8.6. The Buyer acknowledges that the delivery of the goods depends on the Buyer's cooperation. Among other things, the Buyer must ensure that the place where the goods are to be delivered is free and easily accessible and that, if necessary, the goods can be stored at the Buyer's risk.

8.7. We are not liable for any consequential damage due to late delivery or non-delivery by the carrier. In any case, our liability remains limited to the value of the items that can be proven not to have been received.

Article 9 - Returns

9.1. Returns without prior approval will not be accepted.

9.2. The right of withdrawal for consumers does not apply.

Article 10 - Force majeure

10.1. In the event of force majeure, the seller is entitled to suspend the agreement for the duration of the force majeure situation. Insofar as the force majeure situation is of a permanent nature, the seller cannot be held liable for fulfilling its obligations.

10.2. Force majeure is any circumstance beyond the control of Norsonic Benelux BV that prevents it from fulfilling its obligations in whole or in part. This includes, among other things: strikes, fire, business interruptions, power failures, disruptions in a (telecommunications) network or connection or communication systems used, and/or the unavailability of the website at any time, non-delivery or late delivery by suppliers or other third parties engaged.

Article 11 - Intellectual Property Rights

11.1. All rights to the webshop, logos, images, names, product information, and manuals belong to Norsonic Benelux BV or its suppliers and may not be used, reproduced, or distributed without prior and express written permission.

Article 12 - Applicable law and Competent court

12.1. All agreements, regardless of the Buyer's place of residence, are governed exclusively by Belgian law.

12.2. Any disputes shall be settled exclusively by the courts of the judicial district of Leuven.

12.3. The applicability of the Vienna Sales Convention is expressly excluded.

Article 13 - Privacy Policy

13.1. The Seller reserves the right to collect user data exclusively for internal use, both directly, by collecting the data provided by the Buyer at the time of ordering, and indirectly (e.g. through the use of cookies, which are short data strings on the computer of the website user that allow the Seller to optimally tailor the content and layout of the website to the user).

13.2. The collected data will not be passed on to organizations that are contractually affiliated with the Seller.

13.3. In accordance with the law of December 8, 1992, on the protection of privacy with regard to personal data, the user has the right at any time to view, modify, correct, and delete such data if they no longer wish to receive information about the activities of HSE-shop.

Article 14 - Final provisions

14.1. If any provision of these General Terms and Conditions is unlawful, void, or for any other reason unenforceable, then that provision shall be deemed severable from these General Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions.

14.2. These General Terms and Conditions constitute the entire agreement between the Parties with regard to the matters contained herein.

14.3. Norsonic Benelux BV reserves the right to change these terms and conditions. The amended terms and conditions apply to new orders.
